These Terms of Service ("Terms") govern your access to and use of Tbltap products and services provided by Ngassa Holdings LLC, doing business as Tbltap ("Tbltap," "we," "us," or "our"). By using Tbltap, you agree to these Terms. If you do not agree, do not use the platform.
1. Scope
Tbltap provides software, platform marketplace tools, guest-experience services, digital menus, table ordering, business account management, payment tooling, support workflows, and connected hardware for restaurants and guests. These Terms apply to:
- guest users
- account holders
- restaurant and other business customers
- restaurant staff and representatives
- anyone accessing Tbltap websites, mobile apps, APIs, table tags, hosted checkout flows, or support channels
2. Eligibility and Accounts
You must be legally able to enter into a binding agreement to use Tbltap. Business accounts may only be created or managed by people authorized to act for the restaurant or business customer.
You are responsible for:
- keeping account credentials secure
- providing accurate onboarding, billing, tax, and payout information
- updating business, tax, menu, representative, and payout information when it changes
- ensuring that only authorized staff use restaurant accounts and payment tools
- all activity under accounts and staff permissions you control
3. Restaurant Services and Merchant Responsibilities
Restaurants are responsible for their menus, pricing, taxes, service charges, product descriptions, allergen and ingredient disclosures, order acceptance, preparation, fulfillment, customer communications, alcohol and age-restricted item compliance, local permits, required approvals, and the customer-facing refund policy they offer to guests.
Tbltap provides software and workflow tooling. Tbltap is not a restaurant, food provider, caterer, delivery provider, seller of restaurant food or beverages, or guarantor of restaurant fulfillment.
For restaurant food, beverage, service, and similar restaurant transactions, the restaurant is the merchant of record unless a specific checkout flow expressly states otherwise. Tbltap is a platform marketplace and guest-experience service provider. Tbltap is not the merchant of record for restaurant transactions and does not decide whether a restaurant must accept, fulfill, cancel, refund, or dispute a restaurant order.
4. Payment Processing and Payouts
Tbltap's current standard restaurant payment flow uses Stripe and Stripe Connect. For restaurants using that flow:
- customer charges are created on the restaurant's connected Stripe account
- Stripe charges the diner only the bill, tax, tip, and other restaurant-approved amounts shown in the order flow
- Tbltap collects restaurant-paid platform usage fees from restaurant proceeds through Stripe Connect application fees
- Tbltap software may create, confirm, manage, route, display, or reconcile charges, refunds, disputes, and payout metadata
- Stripe, card networks, banks, wallets, and similar providers handle regulated payment processing, settlement, charge movement, risk controls, and payout movement
- payout availability depends on successful Stripe onboarding, connected-account status, verification, reserves, holds, reviews, and Stripe's own payout timing and risk controls
Tbltap is not a bank, stored-value provider, money transmitter, payment processor, card network, acquiring bank, or restaurant merchant of record. Payment processing, settlement, charge movement, processor-side refunds, and payout release are performed by the applicable processor and financial institutions.
5. Fees Charged to Business Customers
5.1 Platform Usage Fees on Customer Transactions
Tbltap currently charges restaurants a platform usage fee on each qualifying customer charge. The fee is collected from restaurant proceeds through Stripe Connect, rather than added on top of the diner's bill as a separate Tbltap surcharge.
As of June 12, 2026, Tbltap's standard usage fee is:
- Dine-in: 25 cents + 0.5% of the charge base, per charge
- Pickup: 40 cents + 2% of the charge base, per charge
- Minimum platform usage fee: 20 cents per qualifying charge
The charge base is everything the diner pays except tip, including food subtotal, tax, service charges, and similar restaurant-approved charges. Tip-only add-ons are not charged a Tbltap usage fee unless Tbltap states otherwise in the applicable checkout or billing flow.
5.2 Processor Fees
Stripe or another disclosed processor may charge separate processing, payout, currency-conversion, refund, dispute, reversal, reserve, or negative-balance fees under that processor's terms. Processor fees are separate from Tbltap fees unless Tbltap expressly states otherwise.
5.3 Membership and tbltags Pricing
Current pricing is shown in the applicable Tbltap store, checkout, or order flow. As of June 12, 2026, Tbltap's published standard business pricing is:
- restaurant membership: 14-day free trial, then $24.99 per month per location
- Trial NFC Kit: $24.99 for 24 tbltags
- Production NFC Kit: $34.99 for 24 tbltags
tbltags are licensed products, not sold outright. The license is restaurant-scoped, non-transferable, and subject to the tbltags License Agreement and any purchase terms shown at checkout.
Shipping charges, taxes, duties, import fees, and similar third-party charges are separate unless stated otherwise at checkout.
5.4 Changes to Fees
Tbltap may change pricing prospectively. Updated pricing will appear in the relevant purchase, renewal, or billing flow before it takes effect for new purchases or renewals.
6. Subscriptions, Renewals, and Cancellation
Restaurant memberships and other recurring services renew automatically on the billing interval shown at purchase unless canceled before the applicable cutoff.
Current membership cancellation behavior is:
- cancellation is scheduled for period end
- access remains active until the end of the paid period
- current-cycle membership charges are non-refundable
- Tbltap may reject a cancellation request submitted too close to renewal if the billing window has already closed
7. Refunds, Disputes, and Chargebacks
Restaurants control the customer-facing refund policy they offer to guests. Tbltap cannot decide, approve, guarantee, or process refunds on behalf of restaurants unless the restaurant has authorized the action through platform tooling, staff permissions, support workflows, or another approved instruction.
Tbltap may provide software and operational tooling that allows authorized restaurant staff or authorized Tbltap support personnel to route, assist with, or process restaurant-approved refunds through Stripe or another processor.
For restaurants using Stripe Connect:
- approved refunds may be created through Tbltap's tools only as an operational workflow for the restaurant
- Stripe may debit the connected account or future payouts for refunds, disputes, reversals, processor fees, or negative-balance recovery according to Stripe's terms
- restaurants are responsible for accurate order records, timely evidence, customer communications, dispute responses, chargeback evidence, and chargeback costs tied to their orders
Tbltap does not guarantee that processor fees, dispute fees, currency-conversion fees, or platform usage fees will be returned when a refund, reversal, or chargeback occurs.
8. Hosted Media and User Content
Media files uploaded to, hosted on, stored by, processed by, cached by, or served from Tbltap-controlled systems are owned by Tbltap to the fullest extent permitted by law. This includes uploaded photos, videos, thumbnails, generated variants, cached copies, review media, menu media, profile media, and operational media stored or served by Tbltap.
By submitting or allowing media, reviews, menu content, business information, or other content through Tbltap, you represent that you have all rights and permissions needed for Tbltap to receive, host, process, moderate, display, distribute, adapt, cache, retain, remove, and use that content to operate, protect, market, and improve Tbltap services.
Restaurants remain responsible for the accuracy, legality, and rights clearance of their menus, pricing, photos, descriptions, logos, trademarks, promotions, and business content. Guests remain responsible for the legality and rights clearance of review content and media they submit.
9. Third-Party Services
Tbltap integrates with third-party services including payment processors, hosting, analytics, communication, identity, mapping, and support tools. Your use of those services may also be governed by their own terms and privacy notices.
10. Suspension and Termination
Tbltap may suspend or limit access to the platform, payment features, payouts, ordering, business tools, media hosting, tbltags, or support workflows if we reasonably believe there is:
- fraud, abuse, or unlawful activity
- a material security risk
- required verification or compliance information missing
- non-payment of fees
- a rights, safety, content, or intellectual-property concern
- a breach of these Terms or other Tbltap policies
You may stop using Tbltap at any time. Termination or account closure does not eliminate obligations for fees already incurred, chargebacks, refunds, disputes, licensed tbltags, support records, hosted media, or compliance records that must be retained.
11. Disclaimers and Liability
Tbltap provides the platform on an "as is" and "as available" basis to the extent permitted by law. Tbltap does not guarantee uninterrupted service, processor uptime, dispute outcomes, refund outcomes, payout timing, restaurant sales results, food quality, order fulfillment, customer behavior, or restaurant compliance.
To the extent permitted by law, Tbltap is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, loss of goodwill, loss of data, order issues, restaurant fulfillment issues, customer disputes, or processor decisions arising from use of the platform. Tbltap's aggregate liability for a claim relating to paid services will not exceed the amount you paid Tbltap for the specific service giving rise to the claim in the 3 months before the event that caused the claim.
Nothing in these Terms limits liability that cannot be limited under applicable law.
12. Privacy
Your use of Tbltap is also subject to the Tbltap Privacy Policy. Where a separate signed agreement, order form, or DPA applies to a business customer, that agreement controls to the extent of any direct conflict.
13. Changes to the Terms
Tbltap may update these Terms from time to time. Material changes will be posted through the platform or on the applicable policy page with an updated effective date. Continued use after the effective date of an update means you accept the revised Terms.
14. Governing Law and Disputes
Unless a mandatory local law requires otherwise, these Terms are governed by California law, excluding conflict-of-law rules. The parties agree to resolve disputes in Los Angeles County, California, unless another forum is required by non-waivable law or a signed agreement states otherwise.
